Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Reminds ("we," "us," or "our"), concerning your access to and use of the Reminds website and service (collectively, the "Service").

You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms of Service, then you are expressly prohibited from using the Service and you must discontinue use immediately.

We reserve the right to make changes or modifications to these Terms of Service at any time. We will alert you about any changes by updating the "Last updated" date. It is your responsibility to periodically review these Terms of Service to stay informed of updates.

Eligibility

The Service is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to register for or use the Service.

Description of Service

Reminds is a software-as-a-service platform that allows users to create reminders based on natural language conditions. Our agent checks conditions periodically and notifies you when they are met. The Service is provided on a subscription basis with free and paid tiers.

User Accounts and Registration

You may be required to register to use the Service. You agree to keep your password confidential and will be responsible for all use of your account. You must provide accurate, current, and complete information during registration and maintain the accuracy of such information.

Subscription and Payment

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annually). You authorize us to charge your payment method for all applicable fees. All payments are processed by Stripe. By subscribing, you also agree to Stripe's terms of service.

You may cancel your subscription at any time through your account settings or the billing portal. Refunds are handled in accordance with our refund policy and applicable law.

Acceptable Use

You agree not to use the Service to: (1) violate any applicable laws or regulations; (2) infringe on the rights of others; (3) transmit harmful, offensive, or illegal content; (4) attempt to gain unauthorized access to the Service or other accounts; (5) interfere with or disrupt the Service; (6) use automated systems (bots, scrapers, etc.) without our permission; or (7) use the Service for any purpose other than its intended use.

We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these terms.

Intellectual Property

The Service, including its content, features, and functionality, is owned by Reminds and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business use. You retain ownership of any content you create or submit through the Service, but you grant us a license to use, store, and process that content to provide the Service.

Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. Please review our Privacy Policy before using the Service.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. REMINDS USES THIRD-PARTY AI AND DATA SOURCES TO EVALUATE CONDITIONS; WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY RESULTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMINDS AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will cease immediately.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising from these terms or the Service shall be resolved in the courts of competent jurisdiction.
